Notice of Annual Members' Meeting of Skyline Ranch Estates Water Supply Corporation
The annual Members' Meeting for the Skyline Ranch Estates Water Supply Corporation (SREWSC” or “WSC”) will be held on Saturday, February 21, 2026, at Wimberley United Methodist Church, CR 1492 at RR 12, 2 miles south of Wimberley square, Wimberley (Hays County), Texas 78676. The meeting will start promptly following the conclusion of the SRE POA meeting, which will begin at 10:00 A.M.
Open Forum: Members who want to address the Board or the membership should sign-in on a separate sheet at the entrance to the hall provided by the presiding director stating the topic they wish to address. Members will be given three minutes each to speak.
No motions may be accepted or action taken on issues brought up at the meeting from the floor (or on which a member has spoken under the sign-in sheet procedure). All action items must have been included on the posted agenda. This limitation is imposed by the public notice requirements of the Texas Open Meetings Act and is not intended to limit any member's access for addressing any issue to the Board of Directors or the membership. Members can request that items be placed on the agenda for future annual (or special) members’ meetings or for future meetings of the Board of Directors.
Agenda for February 21, 2026 Annual SREWSC Members' Meeting
- Determine presence of quorum & call meeting to order. Presiding director will call the meeting to order following conclusion of the SRE POA meeting after determining a quorum of the members are present. A show of hands of members (those who have SREWSC water accounts) will be used to determine presence of a quorum. [Note: WSC bylaws say 10% of the members constitute a quorum.]
- Review & Approve minutes from previous Members' Meeting (March 1, 2025). A copy of Minutes from the previous annual Members' Meeting will be available at the meeting (or can be requested ahead of time by email from the WSC Board).
- Informational Presentations: The short agenda is expected to include information about:
Current drought conditions
Required regulatory compliance (current HTGCD 40% curtailment, etc.)
Operational issues over past year since last annual meeting (failure of well #1, repairs, etc.)
Finances
Projected/anticipated tariff changes (if applicable)
Recent or Projected changes to the current board (as applicable)
- Consideration of Amendment of Articles of Incorporation, Article IV. A page showing original Article IV (adopted in August 2000) and proposed amendment of Article IV adopted by the Board at its 1/15/26 board meeting is attached to this Agenda, and a proxy for voting on this amendment is also attached. A brief explanation will be given stating the reasons for the amendment, and the floor will be open for members’ questions and discussion of the amendment.
- Open Forum: Comments from members who signed up to speak, limited to three minutes each.

Proposed Revision of SREWSC Articles of Incorporation, Article IV
Skyline Ranch Estates Water Supply Corporation’s original articles of incorporation were adopted by the original incorporators in August 2000, and filed by the Texas Secretary of State in September 2000, and have never been amended (the “Articles”).
The original Article IV states as follows:
[ORIGINAL] ARTICLE IV.
The Corporation is formed for the purpose of furnishing a water supply for domestic purposes to individuals residing in the rural community of Skyline Ranch Estates, Wimberley, Texas. The places where the business of the Corporation is to be transacted shall be the Skyline Ranch Estates Community in Wimberley, Hays County, Texas.
PROPOSED AMENDMENT (additions underscored and deletions overstruck:
[AMENDED] ARTICLE IV.
The Corporation is formed for the purpose of furnishing a water supply for domestic purposes to individuals residing in the rural community of Skyline Ranch Estates, Wimberley, Texas, and to others whose property is immediately adjacent to Skyline Ranch Estates as Texas law may require, solely for domestic single-family water supply; but in no case shall the Board of the Corporation permit any such water supply access to such prospective adjacent customers if the Board determines that such access may impair or diminish the ability of the Corporation to continue supplying water to members of the Corporation within the constraints of the Corporation’s permits and licenses under applicable drought conditions. The places where the business of the Corporation is to be transacted shall be the Skyline Ranch Estates Community in Wimberley, in Hays County, Texas.
[NOTE: Article II of the original Articles of Incorporation states the corporation is “..authorized to exercise all powers and rights incidental in carrying out the purposes for which the corporation is formed, except as are inconsistent with the express provisions of those Acts. [“[T]hose Acts” refers to laws referenced elsewhere in the Articles: Chapter 67 of the Texas Water Code and Article 1396-1.01, et. seq., of the Revised Civil Statutes of Texas, as amended [the former Texas Non-Profit Corporation Act, now codified primarily in Chapter 22 of the Texas Business Organizations Code, as amended].] [No amendment of Article II of the SREWSC Articles of Incorporation is being proposed at this time.]
